1. Acceptance of Terms
By accessing or using the Colmez platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Colmez, Inc. ("Colmez," "we," "us," or "our") operates a pre-launch marketplace platform that facilitates the listing and bidding on forward hazardous waste disposal capacity contracts between treatment, storage, and disposal facilities ("TSDFs") and industrial waste generators ("Generators"). All listings, data, pricing, and contract information presented on this site are illustrative and do not constitute actual offers, bids, or contracts. No contracts have been transacted on the platform. The platform is in pre-launch status and all information is provided for informational purposes only.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of your organization to use the Service. By using the Service, you represent and warrant that you meet these requirements. Access to certain features may be restricted to verified business entities.
4. No Investment or Legal Advice
Nothing on this site constitutes financial, investment, legal, tax, or regulatory advice. All content is provided for informational and illustrative purposes only. You should consult qualified legal, financial, and environmental compliance counsel before entering into any waste disposal contract or making any investment decision. Colmez is not a registered broker-dealer, investment adviser, or financial intermediary under any applicable law.
5. Intellectual Property
All content on the Service, including but not limited to text, data, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Colmez or its content suppliers and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent.
6. User Conduct
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable regulations; (b) scrape, harvest, or otherwise collect data from the Service by automated means; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to any portion of the Service; (e) submit false, misleading, or fraudulent information; or (f) use the Service to transmit unsolicited commercial communications.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COLMEZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COLMEZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ALL DATA, PRICES, AND MARKET INFORMATION ARE ILLUSTRATIVE AND MAY NOT REFLECT ACTUAL MARKET CONDITIONS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLMEZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (iii) ANY CONTENT OBTAINED FROM THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
9. Indemnification
You agree to indemnify and hold harmless Colmez and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
10. Modifications
Colmez reserves the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of significant changes by updating the effective date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
