These Terms of Service (the "Terms") govern your access to and use of the website at colmez.com and any related pages, content, and features we operate (together, the "Site"). The Site is provided by Colmez, Inc. ("Colmez," "we," "us," or "our"), a Delaware corporation with its principal place of business in California, United States. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above, and the updated Terms take effect when posted. Your continued use of the Site after we post changes means you accept the updated Terms. Please review this page periodically.

2. The Colmez product and services

The Site is an informational and marketing website. Access to and use of the Colmez product and services is provided only under a separate written agreement between Colmez and the customer, such as a master subscription agreement and order form. Those agreements, not these Terms, govern the product, including fees, service levels, data handling, and customer obligations. Nothing on the Site is an offer to provide the product on these Terms, and these Terms do not grant you any right to access the product.

3. Intellectual property

The Site and its content, including text, graphics, logos, designs, and software, are owned by Colmez or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and non-commercial purposes. You may not copy, reproduce, republish, distribute, modify, or create derivative works from the Site or its content without our prior written permission, except as allowed by applicable law. "Colmez" and our logos are our trademarks and may not be used without our permission.

4. Acceptable use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • attempt to gain unauthorized access to the Site, its systems, or related networks;

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COLMEZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Colmez and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Site or your violation of these Terms.

11. Term and termination

These Terms apply while you use the Site. We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. The provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Subject to the dispute-resolution section below, you agree that any dispute arising out of or related to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Dispute resolution

If a dispute arises out of or relates to these Terms or the Site, you and Colmez agree to first try to resolve it informally by contacting us at contact@colmez.com and negotiating in good faith. If the dispute is not resolved within sixty (60) days, either party may pursue the remedies available under these Terms and applicable law.

14. Miscellaneous

These Terms, together with our Privacy Policy and any agreements referenced here, are the entire agreement between you and Colmez regarding the Site. If any provision is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them freely. Nothing in these Terms creates any partnership, agency, or employment relationship between you and Colmez.
